Terms of Service
Last updated: 15 September 2026
These terms govern the services provided by Ledgen ("Ledgen", "we", "us", "our"), a business based in the United Kingdom: The Partnership, our LinkedIn content service; our free posts offer; and access to the Ledgen app that comes with them. They form a binding agreement between us and you, or the organisation you represent ("you", "your").
You accept these terms when you pay for The Partnership, apply for the free posts, or use the Ledgen app. If you are accepting on behalf of an organisation, you confirm you have authority to bind it. If you do not accept, do not use our services.
Four things worth reading before the rest. Section 3: your posts are written from the raw material you give us, and a week without it is a week without posts, which is not made up later. Sections 3 and 6: the fee pays for our availability, like a retainer, and is not refunded. Cancelling stops the next renewal, not the month you are in. Section 4: nothing is published without your approval, and what you approve is yours to answer for. Section 15: the limits on what we can be liable for.
1. Who these terms are for
Our services are for people acting for their business, trade or profession. You must be at least 18 years old. If you use them as a consumer, you may have rights under the law that these terms cannot take away, and nothing in these terms affects those rights.
2. The Partnership
The Partnership is a monthly LinkedIn content service. While your subscription is active, we:
- write up to 3 LinkedIn posts a week (12 a month) from the raw material you give us;
- agree a voice guide with you, and hold every post to it;
- hold one planning call a month to agree the topics together;
- send you prompts and ideas to help you find something to say in a quiet week;
- make up to 2 rounds of changes to each post at your request, returning each round within 48 hours of the request; and
- publish each post you approve to your connected LinkedIn account at its scheduled time.
Onboarding starts with a short form after checkout. We aim to deliver your first posts within a week of onboarding, provided you have sent us raw material to write them from.
We decide how the work is done, including the tools we use. We use artificial-intelligence tools in preparing drafts, and we review every post before it is sent to you.
3. The raw material comes from you
Your posts are written from what you give us: one voice note a week, recorded in the Ledgen app, together with your onboarding answers and anything else you share with us. We do not invent stories, clients, numbers or opinions on your behalf.
If you do not give us raw material for a week, we cannot write that week's posts. Those posts are not written later and do not carry over to another week or another billing period. They are lost.
The Partnership works as a retainer. The fee pays for our availability to do the work for you during the billing period, not for a number of posts. If you do not use that availability, it is not refunded, credited or extended.
You are responsible for the raw material you give us. In particular, you confirm that:
- what you tell us about yourself, your work and your results is true;
- you are entitled to share anything it contains, including information about your clients, your employer or other people, and doing so breaches no duty of confidence you owe; and
- you will tell us about any topic, client or detail that must never appear in a post.
4. Approval and publishing
Nothing is published without your approval. We send your posts to you in the Ledgen app. For each one you can approve it, or ask for changes.
Approving a post confirms that you have read it and are happy for it to be published in your name. From that point you are responsible for it, including the accuracy of what it says and its compliance with the law and with LinkedIn's rules. We keep a record of each approval: who gave it and when.
A post that has not been approved by its scheduled time is not published, and we will propose a new time. A post we have delivered for your approval counts as that week's work whether or not you approve it.
Publishing depends on your LinkedIn account being connected and on LinkedIn and our publishing providers working as expected. If a post fails to publish, we will tell you and try again, but we are not responsible for failures caused by those third parties (see section 10).
5. Fees, billing and VAT
- The fee for The Partnership is the price shown at checkout. It is billed monthly, in advance, from the day you subscribe. A first-month discount applies to your first billing period only.
- We are not currently registered for VAT, so no VAT is charged on our fees. If we register, we will tell you at least 30 days before VAT is added to future invoices. You are responsible for any tax that your own country requires you to account for on what you buy from us.
- We may change our prices from time to time. We will give you at least 30 days' notice by email before a new price applies to your subscription. If you do not want to continue at the new price, you can cancel before it takes effect.
Payments are handled by a third-party payment provider, not by us. You may need to accept that provider's own terms, and the card or bank details you give it are held by that provider: we never see or store them. We remain responsible for what we charge you and for answering questions about your invoices.
If a payment fails, we may pause the service and your access to the app after giving you notice and a reasonable opportunity to fix it. We may charge interest on overdue sums at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998, together with the fixed recovery costs that Act allows.
6. Cancellation and refunds
You can cancel at any time from your billing page or by emailing hello@ledgen.io.
Cancelling stops the next renewal. It does not cancel the billing period you are in. The service continues until the end of that period, and you are free to keep using it until then.
No refunds are given, in full or in part, including for weeks in which you did not send raw material, for posts you did not approve, or for changes you did not ask for. How much of the service you use during a billing period is up to you.
When your subscription ends, posts already published stay on your LinkedIn account, and your access to the app ends as described in section 14.
7. Who owns the posts
Once you have paid for the billing period in which a post was written, the post is yours, and we transfer to you any rights we hold in it. Free posts are yours to keep from the moment they are delivered.
Our methods, tools, templates and know-how remain ours, including the way we build voice guides and structure posts.
We only show posts written for The Partnership as examples of our work if you give us permission. You can give or withdraw that permission at any time by emailing hello@ledgen.io. If you withdraw it, we stop using the posts from then on.
The free posts are different: showing them as examples is a condition of the offer (see section 8).
8. The free posts offer
- The free posts are offered by application. Places are limited and depend on our availability, so applying does not guarantee a place. We decide who is chosen and do not have to give reasons. We reply to every applicant within 5 working days.
- If you are chosen, we write up to 3 LinkedIn posts from one voice note, which you send within 7 days of being chosen, with 1 round of changes on each post. If the voice note does not arrive in that time, the offer lapses.
- It is a condition of applying that you allow us to show the free posts as examples of our work, including on our website, on social media and in material we send to prospective clients.
- We ask for honest feedback on the posts, and a short review once they are done.
- There is no charge and no obligation to subscribe afterwards. The posts are yours to keep, whatever you decide.
- You approve the posts in the Ledgen app. Publishing them through Ledgen is optional; if you publish them yourself, you are responsible for doing so.
- We may change or withdraw the offer at any time. That does not affect posts already delivered.
Sections 3, 4, 7 and 9 onwards apply to the free posts as they apply to The Partnership, except where they concern payment.
9. Your access to the Ledgen app
Clients of The Partnership and people chosen for the free posts are given an account on the Ledgen app. For now, that access is for two purposes only: giving us your raw material, and reviewing and approving your posts. We may give you access to more of the app later. If we do, Part B of these terms applies to that use as well.
- Accounts are created by us. Keep your login details confidential, and tell us promptly if you believe your account has been compromised. You are responsible for everything done through your account.
- You must not share your access, attempt to gain access to anyone else's account, probe or test the security of the app, interfere with its operation, reverse engineer it, or use it to build a competing product.
- Everything you put into the app remains yours. You grant us only the licence we need to host and process it in order to provide our services, and to send the parts a task requires to the providers described in our Privacy Policy, which also explains how we handle your personal data. We do not use it to train artificial-intelligence models, and we do not disclose it to other clients.
- We aim to keep the app available, but we do not guarantee it. It may be unavailable because of maintenance, faults, or failures at a provider we depend on.
10. LinkedIn and other platforms
When you connect your LinkedIn account, you authorise us to act on it as the service describes: publishing the posts you approve, and reading back the engagement they receive. You confirm you are entitled to give that authority. You can disconnect at any time, which stops any further action on the account.
We do not control LinkedIn or any other platform. Their terms bind you directly. You are responsible for your compliance with the terms of any platform you connect. A platform may restrict, suspend or close your account for reasons of its own, including reasons connected to third-party tools, and may change or withdraw its interfaces without notice. We are not liable for any of that.
11. Confidentiality
Each of us may learn things about the other that are not public. For you that includes your raw material, your clients, your commercial plans and the posts you have not yet published. For us it includes our methods and the non-public workings of our services.
Neither of us will disclose the other's confidential information to a third party, or use it for any purpose other than performing this agreement. Each of us may share it with our own staff, contractors, providers and professional advisers where they need it and are bound by equivalent obligations. This does not apply to information that is already public through no fault of the recipient, that the recipient already held or independently developed, or that must be disclosed by law or a competent authority. Showing posts as examples under sections 7 and 8 is not a breach of this section. These obligations continue after this agreement ends.
12. What we promise, and what we do not
We will provide our services with reasonable care and skill. Beyond that, and to the fullest extent the law allows, we do not promise any particular result. We do not guarantee reach, followers, engagement, enquiries, leads, clients or revenue from your posts. We do not warrant that the app will be uninterrupted or error-free.
13. Suspension and termination
We may suspend or end our services to you if you materially breach these terms and do not put it right within 14 days of our notice, or immediately where the breach is serious, such as asking us to publish content that is unlawful, defamatory or deceptive. We may suspend for non-payment as described in section 5. We may also end our services for any reason on 30 days' notice, in which case we will refund any fees you have paid for a period after the end date.
14. When your account closes
When your subscription or free posts end, your account is closed. A 30-day grace period follows before access ends permanently, during which you may ask us for a copy of your posts and the raw material you gave us. After it, we are under no obligation to keep your data, and it may be irrecoverable. Our Privacy Policy explains what we keep and for how long.
15. Your risk, our liability, and your indemnity
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject only to that, and to the fullest extent the law allows, we are not liable for loss of profit, revenue, business, contracts, goodwill, reputation, opportunity or anticipated savings, for wasted expenditure or management time, for loss or corruption of data, for any fine or penalty imposed on you by a regulator or a platform, or for any indirect or consequential loss, in each case whether or not we were told such loss was possible.
In particular, we are not liable for: the content of any post after you have approved it; anything arising from raw material you gave us that was inaccurate or that you were not entitled to share; any act, restriction, suspension or closure by LinkedIn or another platform; any interruption, change or withdrawal of a third-party interface; or anything arising from your own instructions or use of our services.
Our total aggregate liability arising in connection with these terms and our services, across all claims and all connected claims, however caused and whether in contract, tort including negligence, breach of statutory duty, misrepresentation or otherwise, is limited to the total fees you paid us in the 12 months immediately before the event giving rise to the claim, or one hundred pounds where no fees were paid in that period.
Any claim must be brought within 12 months of the date you became aware, or ought reasonably to have become aware, of the circumstances giving rise to it. Any claim you bring must be brought against Ledgen alone, and not against any individual who works for us or with us.
You will indemnify us against claims, demands, penalties, losses and reasonable costs, including legal costs, arising from posts you approve, from raw material you give us, from your breach of these terms or of any law, and from your use of any connected platform. Each part of this section operates separately; if any part is found unenforceable, the rest continues to apply.
16. Changes to these terms
We may update these terms as our services and the law change. For material changes we will give reasonable notice by email or in the app. Continuing to use our services after the changes take effect means you accept them; if you do not, you may cancel before that date.
17. General
Neither of us is liable for a failure or delay caused by something beyond our reasonable control, including failure of a supplier or communications network, industrial action, act of government, or the withdrawal or change of a third-party platform or interface. Nothing in these terms creates a partnership in law, joint venture, agency or employment relationship between us, whatever the name of the service. These terms, including Schedule 1 (Data processing), together with the Privacy Policy, are the entire agreement and replace anything said beforehand. If a provision is unenforceable, the rest continues in force. A delay in enforcing a right does not waive it. You may not assign these terms without our written consent; we may assign them to a successor to the business on notice to you. Notice under these terms may be given by email, to the address on your account or to us at hello@ledgen.io, and is treated as received on the next working day. Nobody other than you and us may enforce these terms, except that an individual who works for us or with us may rely on the provision in section 15 that claims are brought against Ledgen alone.
18. Governing law and jurisdiction
These terms and any dispute arising from them, including non-contractual disputes, are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
Part B
If your access includes more of the app
This part applies only if we give you access to parts of the Ledgen app beyond giving us raw material and approving posts, such as planning, drafting and publishing your own content, or managing contacts. It applies to that use in addition to Part A, and it does not apply until we give you that access.
B1. Plans and credits
Wider access may be sold as a plan that includes an allowance of credits. Credits are consumed when the app performs work that costs us money, such as generating content, enriching a contact or publishing a post. Credit costs vary by operation, and we will tell you the cost of any operation on request.
- Included credits reset at the start of each billing period. Unused credits do not carry over.
- Additional credits may be purchased where we offer them. Purchased credits are consumed after included credits.
- When your allowance is exhausted, operations that spend credits stop working until the period resets or you buy more. Reading and exporting your existing data is never blocked for this reason.
- Credits already consumed are not refundable. Consumption is metered and visible to you in the app.
B2. Content you generate yourself
The app uses large language models to produce drafts. The output produced for you is yours to use, but it is generated text: it can be inaccurate, and it can state things about you, your business or a third party that are not true. Similar output may be generated for others, so we cannot promise it is original. You are responsible for reviewing anything before it is published in your name.
B3. Your data and contact records
Where your workspace contains personal data about other people, you are the data controller and we act as your processor. Our respective obligations are described in the Privacy Policy, and where you require a separate data processing agreement, contact us and we will put one in place. Where you have a right to audit our processing, you may exercise it once in any 12-month period, on 30 days' written notice, at your own cost, during working hours and subject to confidentiality; we may satisfy it with a completed security questionnaire or an independent report where one is available.
The app lets you import contact records and enrich them with publicly available professional information, including, on request, business email addresses. You warrant that you have a lawful basis for holding and using every contact record in your workspace and can demonstrate it; that where you rely on legitimate interests you have carried out and documented a legitimate interests assessment; that you give the people concerned the privacy information they are entitled to and honour their rights; and that you have the right to give us the data you upload. You will indemnify us against claims, penalties and reasonable costs arising from your breach of this section.
B4. Acceptable use
You must not use the app to:
- send unsolicited bulk messages, or any communication that breaches the Privacy and Electronic Communications Regulations or equivalent law in the recipient's country;
- contact people who have asked you to stop, or who have withdrawn consent where consent was your basis;
- publish content that is unlawful, defamatory, harassing, discriminatory, deceptive or infringing;
- impersonate another person, or publish in someone's name without their authority;
- build or enrich contact records for the purpose of selling or brokering that data; or
- circumvent credit metering, plan limits or rate limits.
We may suspend access immediately where we reasonably believe continued use presents a legal risk, a security risk, or a risk to other users. Where circumstances allow, we will tell you first. Features we describe as beta, preview or experimental may change or be withdrawn at any time and are provided without warranty.
Schedule 1
Data processing
This schedule forms part of these terms and governs how we process personal data on your behalf. It is the agreement required of a processor by data protection law, so there is no separate document to sign: it is accepted when these terms are. Where this schedule and the rest of these terms conflict on the handling of personal data, this schedule governs. Our Privacy Policy explains the same arrangement in plainer terms, and nothing here contradicts it.
Everything you put inside your workspace — above all your contact records — is yours. You decide what is held and why, which makes you the controller; we act only on your instructions, which makes us your processor. What follows is what we owe you in that role.
1. Definitions
Controller, processor, personal data, data subject, processing and personal data breach have the meanings given in the UK GDPR. Data protection law means the UK GDPR, the Data Protection Act 2018, and any law that replaces or amends them. Workspace data means the personal data you place in, or generate within, your workspace in the Ledgen app.
2. Roles
For workspace data, you are the controller and we are your processor. For the data we need to run Ledgen as a business — your account, authentication, billing, usage metering and diagnostics — we are the controller in our own right, and that processing is described in the Privacy Policy rather than here.
You confirm that you have a lawful basis for the workspace data you hold, that you have given the people it concerns the information they are entitled to, and that your instructions to us do not require us to breach data protection law.
3. Subject matter, duration, nature and purpose
- Subject matter — provision of the Ledgen app and the services described in these terms.
- Duration — for as long as your account is open, and then as set out in paragraph 10.
- Nature and purpose — storing, organising, enriching, analysing and publishing the material you place in your workspace, so that you can run content and relationship work from it.
- Types of personal data — names, job titles, employers, locations, social profile links, and where you have obtained them, email addresses and phone numbers; the text of messages and comments; content you write or upload; and, where you choose to record them, date of birth and gender.
- Categories of data subject — the people you hold contact records for, the people who interact with your published content, and the members of your own team you give access to.
We do not seek special category data, and the service is not designed to hold it. If you place it in your workspace you do so as controller and remain responsible for the additional conditions that apply to it.
4. Our instructions
We process workspace data only on your documented instructions. The actions you take in the product are those instructions, together with anything you ask us in writing. We will tell you if we believe an instruction breaches data protection law, and we may decline to act on it. We process workspace data without your instruction only where the law requires it, and where that happens we will tell you first unless the law forbids it.
We do not use workspace data for our own purposes. We do not sell it, we do not use it for advertising or profiling, we do not share it with other customers, and we do not use it to train artificial-intelligence models — neither ours nor a vendor's.
5. Confidentiality and staff
Access to workspace data is restricted to those who need it to provide the service or to meet a legal obligation. Everyone with access is bound by a duty of confidentiality that survives the end of their engagement with us.
6. Support access to your workspace
Where necessary to provide the service — to investigate an incident you have reported, or to perform configuration you have asked for — we may access your workspace using your account. Such access is limited to personnel who require it, is time-limited and ends automatically, is logged, and is used only for the purpose for which it was requested. We will not use it to browse your data for any other reason.
7. Security
We implement appropriate technical and organisational measures to protect workspace data against accidental or unlawful destruction, loss, alteration, unauthorised disclosure or access. These include encryption in transit and at rest, logical separation of workspaces, restricted access to production systems, and recorded administrative access. We keep these measures under review and may change them as the service develops, provided the level of protection is not reduced.
8. Sub-processors
You give us general authorisation to engage sub-processors. Each one is engaged under written terms imposing protection obligations no less protective than those in this schedule, and we remain liable to you for their performance. We engage sub-processors in the following categories:
- Infrastructure — cloud hosting, database and file storage providers that run the application and hold your data.
- Artificial intelligence — language model providers that produce drafts and summaries.
- Professional data — providers that retrieve publicly available professional information when you request enrichment.
- Social publishing — providers that publish to, and read engagement from, the social accounts you connect.
- Payments — a payment provider that processes subscriptions and handles card details, which never reach us.
- Communications — providers used to send transactional email such as account and service notices.
A current list of sub-processors is available on request. We will give you notice before a material change to the providers that handle workspace data, so that you have an opportunity to object. If you object on reasonable data protection grounds and we cannot offer an alternative, you may terminate the affected part of the service without penalty.
9. International transfers
Some sub-processors are established outside the United Kingdom, principally in the European Economic Area and the United States, so workspace data is transferred outside the UK. Those transfers are made under a safeguard recognised by UK law, such as the UK International Data Transfer Addendum to the EU Standard Contractual Clauses, or the UK extension to the EU-US Data Privacy Framework where the provider is certified. Copies of the relevant safeguards are available on request.
10. Return and deletion
You can export or delete workspace data at any time while your account is open. When you ask us to delete your account, a 30-day grace period runs during which the account can be restored; at the end of it the account is closed and access ends permanently. We will delete or return workspace data after that, except where the law requires us to keep it, and except for backups and diagnostic records, which are retained for a limited period — normally no more than 90 days — and remain subject to this schedule until they expire.
11. Assisting you
Taking into account the nature of the processing and the information available to us, we will assist you with:
- responding to requests from data subjects exercising their rights. If someone contacts us directly about data in your workspace we will not act on it ourselves; we will direct them to you and, where we can identify the workspace, tell you promptly;
- your obligations to keep the processing secure, to notify personal data breaches, and to carry out data protection impact assessments and any prior consultation arising from them.
Where assistance requires significant effort beyond providing the information already available in the product, we may charge a reasonable fee, agreed with you in advance.
12. Personal data breaches
We will notify you without undue delay after becoming aware of a personal data breach affecting workspace data, and will give you the information you reasonably need to meet your own notification obligations. We will not present that notification as an admission of fault.
13. Records and audits
We maintain records of the processing we carry out on your behalf, and will make available the information reasonably necessary to demonstrate compliance with this schedule. Where you reasonably require more, we will contribute to an audit conducted by you or an auditor you appoint, on reasonable written notice, no more than once in any twelve-month period except following a personal data breach, during working hours, and subject to confidentiality and to not disrupting the service or the data of other customers.
